Agreement

AGREEMENT FOR DIGITAL DISTRIBUTION OF MUSIC

1. This agreement allows buckatune to distribute digital copies and promotional sound clips of certain sound recordings (songs) owned by Artist/Label. 
   
2. Such sound recordings will be referred to as Digital Masters and will remain the property of artist'label.
   
   3. Artist/label agrees to indemnify and hold harmless buckatune (and its respective directors, officers and employees) from and against any and all losses, liabilities, damages, costs or expenses (including reasonable attorneys' fees and costs) arising out of a claim by a third party. (Includes licensing and royalty fees)
   
   4. Artist/label agrees to pay buckatune a setup fee of $5.00 per song or $20 per cd to be distributed.
   
   5. Buckatune agress to pay artist/label 70%  of the retail price per track  for each download by check (minimum $10) or monthly through PayPal.
   
   6. Buckatune shall make no guarantees whatsoever about there being any minimum sales.
   
   7. Artist/label agrees to allow buckatune to distribute tracks/cds without compensation to select radio stations and additional outlets for promotional purposes.
   
   8. Buckatune reserves the right, in its sole discretion, to change, modify, add or remove all or part of this Agreement. Notice of any amendments and/or modifications shall be sent to you prior to their effective date. In the event that you do not consent to any such amendments and/or modifications, your sole recourse shall be to terminate this Agreement.
   
   9. Either party shall have the right to terminate this Agreement by providing written notice.
   
   10. This Agreement shall not be deemed to create a partnership or joint venture, and neither party is the other's agent, partner, or employee.
   
   11. This Agreement shall be binding on the assigns, heirs, executors, personal representatives, administrators, and successors of each of the parties.
   
   12. This Agreement shall be governed and interpreted in accordance with the laws of the State of Missouri.
